Welcome to ScholarshipAI! These Terms of Service ("Terms") govern your access to and use of the ScholarshipAI website, services, AI-powered matching platform, and the presentation of relevant products, services, and offers (collectively, the "Service"), operated by ScholarshipAI.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Your Account

To use certain features of our Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account.

2. Use of the Service

You may use the Service only in compliance with these Terms and all applicable laws. You agree not to misuse the Service.

3. Intellectual Property and Acceptable Use

This is the most important section for our mutual protection. We have invested significant resources in building a unique, AI-powered service and a vetted scholarship database.

Our Intellectual Property

The Service and all of its original content, including but not limited to the AI matching algorithms, models, software, user interface design, text, graphics, logos, and our curated and vetted scholarship database (the "Content") are the exclusive property of ScholarshipAI and its licensors. This Content is protected by copyright, trademark, and other laws of the United States and foreign countries.

Your License to Use the Service

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended purpose: to search for and apply to scholarships as a student, parent, or counselor, or to list and manage scholarships as a provider.

Restrictions on Use (Acceptable Use Policy)

To protect our intellectual property and the integrity of our Service, you explicitly agree not to:

• Scrape, crawl, or use any automated means: (including bots, spiders, or scrapers) to access, data-mine, or copy any part of the Service, especially our scholarship database.
• Reverse-engineer, decompile, disassemble: or otherwise attempt to discover the source code, underlying logic, AI models, or matching algorithms of the Service.
• Steal, copy, or "lift" our scholarship database: for use in any competing product or service.
• Use the Service to build a competitive product: or service, or to benchmark the Service for competitive purposes.
• Exploit the Service: in any unauthorized way, including by "prompt-hacking," attempting to overload the system, or testing for vulnerabilities without our express written permission.
• Resell, sublicense, or otherwise transfer your access: to any third party.

Violation of this section is a material breach of these Terms. We will actively monitor for such activities and will pursue all legal remedies, including immediate account termination and legal action, to protect our intellectual property.

4. User Content

You retain full ownership of the content you submit to the Service, including your essays, personal statements, and profile information ("User Content").

By submitting User Content, you grant ScholarshipAI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, and display such User Content for the purposes of operating, providing, and improving the Service, as well as to personalize and market relevant products, services, and offers to you from ScholarshipAI and our partners. This license allows us to run our AI models on your content to find matches, to display your profile information to you, and to identify and present you with relevant opportunities.

This license ends when your User Content is deleted from our systems, either by you or by us upon account termination.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit and to grant us the license described above.

5. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

6. Disclaimers and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the results obtained from the use of the Service will be accurate or reliable. We are a matching service, not a scholarship provider or a financial guarantor.

In no event shall ScholarshipAI be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes. By continuing to use the Service after those revisions become effective, you agree to be bound by the revised terms.
